These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and The Milez Company, LLC, a South Carolina limited liability company operating as PeakRPh ("Company," "we," "us," or "our"). By accessing or using the PeakRPh platform at peakrph.com ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
PeakRPh is a cloud-based clinical intelligence platform designed for licensed pharmacists and pharmacy professionals. The Service provides AI-powered tools for generating patient medication handouts, running clinical safety scans, managing medication therapy information, and related clinical decision support functions. The Service is offered on a subscription basis with different plan tiers (Core and Pro).
The Service is intended for use by licensed pharmacies and pharmacy professionals in the United States. By using the Service, you represent that you are authorized to act on behalf of the pharmacy subscribing to the Service, and that you hold appropriate licensure or are supervised by a licensed pharmacist.
To use the Service, you must create an account by providing accurate and complete information, including your pharmacy name, contact details, and administrator credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@peakrph.com of any unauthorized use of your account.
Access to the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and are subject to change with 30 days' notice. All subscriptions include a 30-day free trial period. Payment is processed through Stripe, our third-party payment processor. By subscribing, you authorize recurring charges to your designated payment method. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your Account settings or the Stripe Customer Portal. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.
You agree to use the Service only for its intended purpose — clinical decision support for licensed pharmacy professionals. You shall not: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer, decompile, or disassemble any part of the Service; (c) share your account credentials with unauthorized individuals; (d) use the Service to generate false, misleading, or intentionally harmful clinical information; (e) resell, sublicense, or redistribute the Service or its output without our written consent; (f) attempt to access other customers' data or circumvent security measures; (g) use automated scripts, bots, or tools to access the Service outside of its intended interface.
The Service is a clinical decision support tool and does not constitute medical advice, pharmaceutical care, or a substitute for professional clinical judgment. All reports, handouts, clinical flags, and other outputs generated by the Service are intended to assist — not replace — the professional judgment of a licensed pharmacist or healthcare provider. The pharmacist or healthcare provider is solely responsible for verifying the accuracy, appropriateness, and clinical relevance of all information generated by the Service before using it in patient care. We do not guarantee the accuracy, completeness, or timeliness of any clinical information provided by the Service. Drug information, interaction data, and clinical guidelines change frequently, and the Service may not always reflect the most current information.
The Service, including all software, code, algorithms, system prompts, workflows, designs, trademarks, trade names, and documentation, is and shall remain the exclusive property of The Milez Company, LLC. The name "PeakRPh" is a trademark of The Milez Company, LLC. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for its intended purpose during the term of your subscription. You retain ownership of all patient data and clinical information you enter into the Service. Reports and handouts generated by the Service may be used, printed, and distributed by you in connection with your pharmacy practice.
Your use of the Service is also governed by our Privacy Policy. You are responsible for all data entered into the Service, including patient information. You represent that you have obtained any necessary consents or authorizations required by applicable law to enter patient information into the Service. We process data as directed by you through your use of the Service. We do not independently access, use, or disclose patient information except as necessary to provide the Service or as required by law.
PeakRPh provides software tools to pharmacy professionals. Customer is responsible for entering and managing all patient data within the Service. The Company does not access patient data except as necessary to provide the Service functionality. If Customer requires a Business Associate Agreement (BAA) under HIPAA, Customer should contact us at support@peakrph.com to discuss terms.
We strive to maintain the Service's availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service downtime or interruptions.
To the maximum extent permitted by applicable law, The Milez Company, LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, clinical outcomes, or patient harm, arising out of or related to your use of the Service. Our total cumulative liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to us during the twelve (12) months preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise.
You agree to indemnify, defend, and hold harmless The Milez Company, LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any claim related to patient care decisions made using information generated by the Service.
We may suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination by contacting support@peakrph.com. After 30 days, we may delete your data.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or by posting a notice on the Service at least 30 days prior to the changes taking effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Greenville County, South Carolina.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Milez Company, LLC regarding the use of the Service and supersede all prior agreements, representations, and understandings.
